You have to complete a series of missions with an A ranking.
Then, when you have completed it, you wii see a new cheat has been unlocked

Jump onto one of the warlord boats and get an APG5 and obliterate him with that and then get a shotgun off another boat and that should kill him because the shotgun does loads of damage.
